It’s been a little while since we’ve seen people get this wrong, but lately we have seen some interesting interpretations of the law.  It is

If your Seller is not a resident of the State of Maryland, or if your seller is not an entity (corporation, limited liability company) formed

It seems like such an easy question.  The Seller, of course.  Perhaps that is why we often see a Contract signed by the ABC Corporation
